Effective date: April 9, 2026 · Last updated: April 9, 2026

1. Acceptance of terms

By creating an ArdenMD account or using any part of the service, you agree to these Terms of Service (the “Terms”). If you do not agree, do not use ArdenMD. These Terms form a binding agreement between you and 9937790 Canada Incorporated (operating as ArdenMD, “we,” “us”).

2. Eligibility - medical professionals only

ArdenMD is intended solely for use by:

  • Licensed Canadian physicians in good standing with their provincial college;
  • Medical residents and students working under physician supervision;
  • Allied healthcare professionals authorized by their scope of practice.

You represent that you are at least the age of majority in your province and that the license information you provide is accurate. ArdenMD is not intended for use by patients or the general public.

3. Clinical decision support - not medical advice

ArdenMD is a clinical decision SUPPORT tool. It is not a substitute for professional clinical judgment, diagnosis, or treatment. All recommendations, calculations, differential diagnoses, billing suggestions, and drug interaction outputs are informational only and must be independently verified by a licensed physician before being acted upon. ArdenMD is not a regulated medical device under the Food and Drugs Act or comparable legislation, and has not been reviewed or approved by Health Canada or the FDA.

4. Account responsibilities

  • You are responsible for keeping your credentials confidential.
  • You must notify us immediately of any unauthorized access.
  • You may not share your account with other clinicians.
  • You are responsible for all activity under your account.

5. Patient data - de-identified only

You may enter clinical information into ArdenMD only in de-identified form. You must remove patient names, health card numbers, dates of birth, contact details, and any other direct identifiers before input. You remain the custodian of any personal health information under PHIPA, the Personal Information Protection and Electronic Documents Act (PIPEDA), and applicable provincial health privacy legislation.

6. Subscriptions and billing

  • Paid plans begin with a 14-day free trial. You will not be charged if you cancel before the trial ends.
  • After the trial, subscriptions renew automatically at the listed CAD price.
  • You may cancel anytime from the Settings → Subscription page. Cancellation takes effect at the end of the current billing period; no pro-rated refunds are issued.
  • We may update pricing with at least 30 days’ notice by email.

7. Intellectual property

ArdenMD, the Medical Logic Modules, source code, designs, and curated Canadian datasets (including the curated ICD-10-CA subset) are owned by 9937790 Canada Incorporated or licensed from third parties. You receive a limited, non-transferable, non-exclusive right to use ArdenMD for your professional practice during your subscription. You may not resell, sublicense, reverse-engineer, or scrape the service.

8. Third-party content and services

ArdenMD integrates with or references third-party data sources and services including, but not limited to, Health Canada’s Drug Product Database, the Ontario Schedule of Benefits, CIHI classifications, Stripe, Supabase, Anthropic, and Sentry. Their terms and privacy practices apply in addition to ours where relevant.

9. Prohibited uses

  • Entering identified patient information without explicit consent and legal basis;
  • Using ArdenMD as the sole basis for any diagnostic or treatment decision;
  • Attempting to circumvent authentication, rate limits, or billing;
  • Using the service for non-clinical purposes or automated scraping.

10. Limitation of liability

To the fullest extent permitted by law, ArdenMD is provided “as is.” We disclaim all warranties, express or implied, including fitness for a particular purpose. We are not liable for any indirect, incidental, consequential, special, or punitive damages, loss of clinical revenue, or patient outcomes arising from use of the service. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ArdenMD, its officers, and its contractors against any claim arising from your misuse of the service, your clinical decisions, or your handling of patient data.

12. Termination

We may suspend or terminate your account if you breach these Terms, if your medical license lapses or is revoked, or if your payment method fails repeatedly. You may close your account at any time by contacting support.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes will be resolved in the courts of Ontario.
